This Agreement governs your participation in the Alliance Affiliate Program as further described herein (the “Program”).
Please Read This Agreement Carefully
It contains liability limits and other binding clauses. By submitting an application for the Program through the Impact Platform and by clicking on the “SUBMIT,” “ACCEPT,” or similar button, you are signifying that you accept and agree to be bound by and comply with the terms of this Agreement, as amended from time to time. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to this Agreement. If you do not have such authority, or if you do not agree with the terms of this Agreement, you must not accept this Agreement and may not use the Program.
YOU MAY NOT PARTICIPATE IN THE PROGRAM IF YOU DO NOT ACCEPT THIS AGREEMENT. To enroll in the Program the Affiliate must accept the Program terms available on the Impact platform.
1. Purpose
Alliance provides services that are commonly required by businesses, including, but not limited to: commercial mail receiving, phone service, live reception services, access to conference rooms and other related services. Affiliate is in regular contact with businesses, and the principals thereof, who may represent a target market for Alliance’s products and/or services. Alliance wishes to offer its products and/or services (“Alliance’s Products”) to Affiliate’s customers and contacts and desires to enter into an affiliate arrangement in which Alliance provides compensation for new business derived from new customers referred by Affiliate to Alliance. This Agreement provides the terms and conditions under which Affiliate will do so as part of the Program.
2. Affiliate Arrangement
By accepting this Agreement and participating in the Program, Affiliate may, from time to time, refer new prospective clients (the “New Clients”) to Alliance on a non-exclusive basis. Alliance will pay Affiliate a Referral Fee for each Successful Referral. A “Successful Referral” occurs when: (a) a New Client signs up for Alliance’s services directly using Affiliate’s dedicated “Affiliate Link” provided by Alliance and (b) the New Client completes their purchase by providing adequate payment and all required documentation.
Exclusions: Alliance will not consider a New Client as a “Successful Referral” if any of the following conditions pertaining to the New Client are true:
- The Affiliate is purchasing an Alliance Virtual Offices service or product for its own business or purposes, or for a business entity that it has a controlling interest in,
- Alliance has already contracted with, or been contacted by, the New Client regarding its services, or
- The New Client has already been referred to Alliance by a third party.
3. Approval
All participation in the Program is subject to Alliance’s approval, which may be withheld at its sole discretion. Additionally, each approval is made on a website-by-website basis. Any affiliates that operate more than one website must submit an application for each domain name for each website on which they seek to promote Alliance, unless notified to the contrary, in writing by Alliance. Alliance will utilize the Impact platform and/or e-mail to communicate with potential affiliates regarding their approval status. Affiliate is not authorized to participate in the Program until approved by Alliance.
4. Referral Fee
For each Successful Referral, Alliance shall pay Affiliate a payout based on the “Affiliate Referral Fee Schedule” listed at the end of this Agreement. Alliance has ability to approve / disapprove payment
5. Affiliate Services
Per the terms of this Agreement, Affiliate shall use commercially reasonable efforts to supply Alliance with leads for Alliance’s Products through marketing initiatives, as it sees fit. These efforts may include, but are not necessarily limited to, displaying Alliance’s company and product information on Affiliate’s website and associated online platforms and conducting email and/or social media campaigns.
6. Compensation & Payments
In consideration of Affiliate supplying Alliance with Leads for Alliance’s Products, Alliance agrees to pay Affiliate the fee(s) specified in the “Affiliate Referral Fee Schedule” listed at the end of this Agreement. Payments for this Program are handled by Impact.
In order to receive payments under this Agreement, Affiliate must create and maintain an account with Impact in their online or app-based dashboard, which is provided pursuant to terms directly between Impact and Affiliate. Affiliate must keep all information updated and complete within the Impact Platform to receive proper payments. Payments returned due to incorrect payment email addresses or other incorrect information will not be returned. The Impact Platform will reflect payment history to Affiliate, and the parties agree that: (a) the data shown in the Impact Platform will govern payments to be made, subject to Alliance’s right to correct errors based on its own records and (b) records and payments will be deemed complete, incontestable, and final twelve (12) months after the applicable Successful Referral occurs.
If a New Client upgrades their services and/or adds-on additional services within their first sixty (60) days of service, Affiliate shall receive a Referral Fee for those upgraded or added-on services. Referral Fees shall not be awarded for any upgraded or added-on services that are purchased after the New Client’s first sixty (60) days.
7. Term
This Agreement shall commence upon the date that Affiliate joins the Program and will continue until otherwise terminated by one of the Parties pursuant to the Termination terms of this Agreement.
8. Termination
This Agreement may be terminated immediately by either Party at any time, either with or without cause, with written notice to the other Party. If Alliance terminates the Agreement due to reasons other than an Affiliate breach of contract, payment obligations of the Agreement for Successful Referrals shall survive for a period of one (1) month after termination of the Agreement; provided that Affiliate is only entitled to Referral Fees for New Customers which it has referred to Alliance through a Successful Referral sent prior to the effective date of termination of the Agreement. If Alliance terminates the Agreement due to an Affiliate breach of contract, all payment obligations for any unpaid, pending, or future Successful Referrals shall be considered null and void.
9. Branding & Marks
Alliance hereby grants to Affiliate a limited, non-exclusive right to use and display its name, product and service names, trademarks, service marks, logos and trade names (its “Marks”) and any materials prepared or provided to Affiliate by Alliance for Affiliate’s use in connection with marketing Alliance and its Alliance Products specified hereunder. Use of Alliance’s Marks shall further be in accordance with any reasonable trademark usage guidelines provided by Alliance to Affiliate in writing.
Alliance has the right to review Affiliate’s use of the Alliance mark and marketing materials and Alliance may provide input about whether said materials or displays are compliant. If marketing materials or visual displays are, in the sole opinion of Alliance, inconsistent with the Alliance requirements, Alliance can require that such materials be changed prior to any public distribution as set forth in the Agreement. If Affiliate does not make the changes to its marketing materials that Alliance deems necessary, Alliance reserves the right to terminate your participation in the Program.
